Legal | Terms of Supply

Your purchases from the www.BaseDatalive.com website (the "Site") are subject to these Terms of Supply. Please read them carefully as they affect your legal rights and liabilities and set out the terms under which BaseData™ Technologies Ltd supplies software to you. We recommend that you print and retain a copy of these Terms of Supply for future reference.

In these Terms of Supply, references to "we", "us" or "our" means BaseData™ Technologies Limited.

1. Order Procedure

Once you have registered online to purchase software we will send you an e-mail acknowledging your order together with an invoice requesting payment from you. Once your payment has cleared we will send you another e-mail containing a unique access link.


2. The Contract Between Us

2.1 We must receive payment of the whole of the price for software that you order before your order can be accepted. Once payment has been received by us we will confirm that your order has been accepted by sending an email to you at the email address you provide in your order form. Our acceptance of your order brings into existence a legally binding contract between us.

2.2 The supply by us of Software to you is subject to you agreeing to and accepting our Software Licence and Terms of Use.


3. Price

The prices payable for software that you order are as set out in our Site. All prices are in pounds sterling and are inclusive of VAT unless otherwise stated.


4. Right for you to cancel your contract

4.1 You may cancel your contract with us for software you order at any time up to the end of the 12th day from the date you place your order PROVIDED THAT you have not activated the software ordered in accordance with clause 1 above). You do not need to give us any reason for cancelling your contract nor will you have to pay any penalty. Once you have activated the software you will not be able to cancel your contract with us.

4.2 To cancel your contract you must notify us either by sending an e-mail to support@BaseDatalive.com or by writing to: 112 Parkgate Road, Parkgate, Cheshire, CH64 6QQ.

4.3 Once you have notified us that you are cancelling your contract, any sum debited to us from your bank account will be re-credited to your account, if applicable, as soon as possible and in any event within 30 days of your order.


5. Liability

5.1 If you are unable to access software that you have ordered within 30 days of the date on which you sent us payment for the software, we shall have no liability to you unless you notify us in writing at our contact address of the problem within 40 days of the date on which you ordered the software. If you notify a problem to us under this clause, our only obligation will be, at your option to:

(a) make the software available to you; or

(b) refund to you the amount paid by you for the software in question in whatever way we choose.

5.2 Save as precluded by law, we will not be liable to you for any indirect or consequential loss, damage or expenses (including loss of profits, business or goodwill) howsoever arising out of any problem you notify to us under this clause and we shall have no liability to pay any money to you by way of compensation other than to refund to you the amount paid by you for the software in question under clause 5.1(b) above.

5.3 You must observe and comply with all applicable regulations and legislation, including obtaining all necessary customs, import or other permits to purchase software from our Site. The importation or exportation of certain of our software to you may be prohibited by certain national laws. We make no representation and accept no liability in respect of the export or import of the software you purchase.

5.4 Notwithstanding the foregoing, nothing in these Terms of Supply is intended to limit any rights you might have as a consumer under applicable local law or other statutory rights that may not be excluded nor in any way to exclude or limit our liability to you for any death or personal injury resulting from our negligence.


6.Privacy

You acknowledge and agree to be bound by the terms of our Privacy Policy.

7. General

7.1 If any part of these Terms of Supply is unenforceable (including any provision in which we exclude our liability to you) the enforceability of any other part of these Terms of Supply will not be affected.

7.2 These Terms of Supply, together with our Software Licence, current Site prices, contact details, Terms of Use and Privacy Policy, set out the whole of our agreement relating to the supply of software to you by us. Nothing said by any sales person on our behalf should be understood as a variation of these Terms of Supply or as an authorised representation about the nature or quality of any goods offered for sale by us. Save for fraud or fraudulent misrepresentation, we shall have no liability for any such representation being untrue or misleading.

7.3 Except for our affiliates, directors, employees or representatives, a person who is not a party to this agreement has no right to enforce any term of these Terms of Supply.

7.4 These Terms of Supply and the contract between us shall be governed by and interpreted in accordance with English law and the English courts shall have exclusive jurisdiction to resolve any disputes between us.
